
About the Role
Job Overview
Lex Tecnica is seeking an experienced, highly organized General Counsel Practice Paralegal to support three attorneys within the firm's General Counsel Practice.
This role supports both transactional business matters and commercial litigation. The ideal candidate is proactive, detail-oriented, comfortable managing multiple priorities, and able to produce accurate, high-quality work with minimal supervision.
Duties
Transactional & Corporate Support
Draft, proofread, revise, and manage commercial contracts, amendments, Master Service Agreements (MSAs), Statements of Work (SOWs), NDAs, operating agreements, bylaws, corporate resolutions, board consents, and governance documents
Prepare and maintain business entity records, formation documents, corporate minute books, and governance records.
Assist attorneys with contract review, redlining, negotiations, execution, and contract lifecycle management.
Manage annual filings and compliance calendars to help client entities remain in good standing.
Coordinate due diligence materials for mergers, acquisitions, financing transactions, and other corporate matters.
Conduct legal and factual research related to corporate governance, commercial transactions, and regulatory compliance.
Coordinate signature packets, electronic signatures, closing binders, and post-closing organization.
Maintain document templates and standard form libraries.
Business Litigation Support
Support attorneys through all phases of commercial litigation.
Draft and file pleadings, motions, discovery requests and responses, subpoenas, correspondence, and court filings.
Manage litigation calendars, deadlines, hearings, and filings in state and federal courts.
Organize discovery, document productions, exhibits, deposition notebooks, and trial binders.
Coordinate with clients, opposing counsel, court personnel, experts, and vendors.
Conduct legal research, factual investigations, and case management.
Assist with mediation, arbitration, hearings, and trial preparation.
Practice & Client Support
Manage workflow and priorities for three attorneys while meeting deadlines.
Prepare client correspondence, memoranda, reports, and attorney work product.
Create polished, client-ready documents for attorney review.
Maintain organized electronic and physical client files.
Coordinate meetings, closings, and client communications.
Assist with time entry, billing support, attorney billing narratives, and administrative functions.
Review attorney pre-bills for accuracy before invoicing.
Maintain strict confidentiality regarding client and firm information.
Identify opportunities to improve workflow and document management.
Billing, Trust & Wealth Management Support
Monitor client retainers and notify attorneys when replenishment is needed.
Coordinate trust account deposits and disbursements in accordance with firm and bar requirements.
Assist with wealth management documentation and estate planning support when appropriate.
Requirements
Associate's or Bachelor's degree preferred.
ABA-approved Paralegal Certificate preferred.
Five or more years of experience supporting business law attorneys.
Experience in both corporate/transactional law and commercial litigation.
Strong understanding of civil litigation procedures and court filing requirements.
Experience managing corporate entities and governance documentation.
Excellent legal drafting, proofreading, and document management skills.
Advanced proficiency with Microsoft Office and legal practice management software.
Exceptional organizational, communication, and time management skills.
Ability to prioritize multiple matters while supporting several attorneys.
Strong attention to detail and commitment to producing accurate work.
Experience with Clio, attorney billing, pre-bill review, trust accounting, and client retainer management is preferred.

Requirements
Associate's or Bachelor's Degree preferred.
Paralegal Certificate from an ABA-approved program preferred.
Minimum 5+ years of paralegal experience supporting business law attorneys.
Demonstrated experience in both corporate/transactional law and commercial/business litigation.
Strong understanding of civil litigation procedures and court filing requirements.
Experience managing corporate entities and governance documentation.
Excellent legal drafting, proofreading, and document management skills.
Advanced proficiency with Microsoft Office Suite and legal practice management software.
Exceptional organizational, communication, and time management skills.
Ability to independently prioritize multiple matters while supporting several attorneys.
Meticulous attention to detail and commitment to producing accurate, high-quality work.
Experience with Clio billing software, attorney billing processes, including pre-bill review, trust accounting, and client retainer management preferred.
